These Terms of Service ("Terms") govern your use of lafariesmortimerllc.com, the LAAP Suite™, our free tools, templates, and tutorials, and any administrative, compliance, or IT services provided by LaFaries Mortimer LLC ("we," "us," or "our"). By using our website or services, you agree to these Terms. If you do not agree, please do not use our services.

1. Our Services

LaFaries Mortimer LLC provides virtual administrative and IT services for small businesses, ministries, and entrepreneurs, including:

  • LAAP Suite™ — a guided business operating system covering formation guidance, compliance tracking, document management, deadline reminders, and AI-assisted business support, offered in subscription tiers.
  • Annual Maintenance plans — deadline tracking, reminders, and filing assistance.
  • Custom services — website design, managed administrative support, IT setup, and AI agent deployment, scoped by individual quote.
  • Free resources — tutorials, templates, and tools provided at no cost for educational use.

2. Not Legal, Tax, or Financial Advice

Important: LaFaries Mortimer LLC is not a law firm, accounting firm, or registered financial advisor, and we do not provide legal, tax, or financial advice. Our services are administrative and informational in nature. Document preparation, filing assistance, templates, and AI-generated guidance are not a substitute for the advice of a licensed attorney, CPA, or financial professional. For advice specific to your situation, consult a licensed professional in your state.

3. Subscriptions & Accounts

  • You must be at least 18 years old and able to enter into a binding contract to use our services.
  • You agree to provide accurate, current, and complete information when creating an account or engaging our services.
  • You are responsible for keeping your account credentials confidential and for all activity under your account.
  • Features available to you depend on your subscription tier (Builder, Growth, or Elite) as described on our Pricing page.

4. Payments, Renewals & Cancellation

  • Subscription fees are billed in advance on a monthly or annual basis, depending on your plan, and are processed securely through Stripe.
  • Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • There are no setup fees or long-term contracts unless otherwise agreed in writing.
  • Custom-quoted services (websites, managed support) are governed by the written quote or agreement provided for that engagement.
  • Prices may change; we will give existing subscribers reasonable advance notice before any price change affects them.
  • Government filing fees, state fees, and third-party charges are separate from our service fees unless expressly stated otherwise.

5. Refunds

Because our services involve time, expertise, and in some cases non-recoverable government filing fees, subscription payments are generally non-refundable once a billing period has begun. If a filing or deliverable has not yet been started, contact us and we will work with you in good faith. Government fees paid to a state or federal agency are non-refundable once submitted.

6. Your Responsibilities

  • You are responsible for the accuracy and completeness of information and documents you provide to us. Filings prepared from inaccurate information are your responsibility.
  • You remain the owner of, and responsible party for, your business entity and its compliance obligations.
  • You agree to review documents we prepare before they are filed or used.
  • You will respond to deadline reminders and requests for information in a timely manner.

7. Filings & Deadlines

Where your plan includes deadline tracking or filing assistance, we make diligent, good-faith efforts to track requirements and remind you before deadlines. However, state requirements change, agencies experience delays, and reminders depend on the accuracy of information you provide. Ultimate responsibility for meeting legal deadlines remains with you and your business. We are not liable for penalties, late fees, or loss of good standing resulting from missed deadlines caused by inaccurate information, unresponsiveness, or circumstances outside our control.

8. Intellectual Property

  • Our content. The LAAP Suite™ name, our logo, website content, tutorials, templates, software, and AI agent personas (including Francis, Aria, Grace, Rex, Lex, and Nova) are the property of LaFaries Mortimer LLC and are protected by applicable intellectual property laws.
  • Template license. Free and paid templates are licensed to you for use in your own business or ministry. You may not resell, redistribute, or repackage our templates, tutorials, or tools as your own products.
  • Your content. You retain ownership of the documents and information you upload or share with us. You grant us a limited license to use them solely to provide the services you request.

9. Acceptable Use

You agree not to:

  • Use our services for any unlawful or fraudulent purpose.
  • Attempt to gain unauthorized access to our systems or another client's data.
  • Interfere with or disrupt the operation of our website or applications.
  • Misuse our AI agents or tools to generate unlawful, deceptive, or harmful content.

10. Third-Party Services

Our services rely on third-party providers such as Stripe (payments), Brevo (email), Netlify (hosting), and others. We are not responsible for the availability, performance, or policies of third-party services, though we choose our providers with care. Links to external websites are provided for convenience and do not constitute endorsement.

11. Disclaimers

Our website, tools, and services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or that any particular business outcome will be achieved.

12. Limitation of Liability

To the fullest extent permitted by law, LaFaries Mortimer LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of business, arising out of or related to your use of our services. Our total liability for any claim arising from these Terms or our services will not exceed the amount you paid us for the service giving rise to the claim during the twelve (12) months preceding the claim.

13. Termination

You may stop using our services or cancel your subscription at any time. We may suspend or terminate access to our services if you violate these Terms, misuse our systems, or fail to pay applicable fees. Upon termination, we will make your stored documents available to you for a reasonable period upon request.

14. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising from these Terms or our services will be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Continued use of our services after changes take effect constitutes acceptance of the updated Terms. Significant changes will be communicated by email or a notice on our website.
